Thai bourse welcomes real estate firm Singha Estate

The Stock Exchange of Thailand (SET) welcomes Singha Estate pcl, formerly Rasa Property Development pcl (RASA), on its main board on September 26, under the ticker symbol “S”.

SET Executive Vice President Chanitr Charnchainarong said that Singha Estate, a real estate investment and development firm operating mainly in residential and hotel business, was the result of a merger with RASA by a share swap and entire business transfer of S Bright Future Co., Ltd., a subsidiary in the Boon Rawd Brewery Group, together with Santiburi Co., Ltd, Santiburi Beach Resort Golf and Spa hotel business, owned by Santi Bhirombhakdi, in Samui island, Surat Thani, Southern Thailand.

S has a paid-up registered capital of 4,712.35 million shares, consisting of 550 million existing shares and 4,162.35 million new shares, with a par value of THB 1.00 each. Of the total newly issued shares, 2,932.40 million shares were offered to Singha Property Management Co., Ltd. Group, and 1,229.95 million shares were offered to Mr.Santi Bhirombhakdi, on September 12, 2014 at THB 1.87 each for a total of THB 7.78 billion via a share swap in RASA. Maybank Kim Eng Securities (Thailand) pcl is the financial advisor for submitting the relisting, and Advisory Plus Co., Ltd. is the independent financial advisor for the business transfer.

Chutinant Bhirombhakdi, Chairman of Singha Estate pcl said S would focus on developing real estate, with commitment to enhancing quality of life and society. S currently owned and developed property projects, such as single-detached houses, townhouses, and condominiums in Bangkok, such as Intro Condominium, Rasa Maxx Ville, and the five-star Santiburi Beach Resort, Golf & Spa hotel in Koh Samui, as well as land plots in the center of Bangkok being developed.

S’s three major shareholders after the business transfer and the change of shareholder structure are Singha Property Management Co., Ltd. Group (56.97%), Santi Bhirombhakdi Group (31.36%), and S’s existing shareholders (11.67%). S’s dividend payment policy is no less than 40 percent of net profits after corporate tax and reserves.
